WHOLESALE TERMS & CONDITIONS

Effective Date: January 1st 2026

These Wholesale Terms & Conditions govern all wholesale purchases made through Alysha James Jewelry (“Company,” “we,” “us,” or “our”). By creating a wholesale account or placing a wholesale order, you agree to the terms below.

1. Eligibility
Wholesale pricing is available to approved retail partners only. We reserve the right to approve, deny, or revoke wholesale access at our discretion.
Wholesale accounts must be used solely for resale purposes and not for personal use.

2. Minimum Order Requirements
• Opening minimum order: $250 CAD
• Minimum order quantity (MOQ): 3 units per style
Orders that do not meet minimum requirements may be cancelled or adjusted.

3. Pricing & Currency
All prices are listed in Canadian Dollars (CAD) unless otherwise stated.
Wholesale pricing is confidential and may not be shared publicly or with non-approved parties.
We reserve the right to update pricing at any time without prior notice.

4. Payment Terms
Full payment is required at the time of order unless otherwise agreed in writing.
Orders will not enter production until payment is received.

5. Production & Lead Times
Wholesale items are made to order.
Standard production lead time is 14–21 business days unless otherwise stated.
During high-volume periods, lead times may extend. We are not responsible for delays caused by shipping carriers, customs, or unforeseen circumstances.

6. Shipping
Shipping costs are calculated at checkout.
All orders ship from Canada.
International customers are responsible for any applicable duties, tariffs, taxes, or customs fees imposed by their country.
We are not responsible for delays caused by customs processing.

7. Returns & Exchanges
All wholesale orders are final sale.
We do not accept returns or exchanges on wholesale purchases.
If items arrive damaged or defective, claims must be submitted within 5 business days of delivery with clear photo documentation.
Approved damage claims may be eligible for replacement or store credit at our discretion.

8. Repairs & Warranty
18k Gold PVD jewelry is designed to be waterproof and tarnish-resistant. However, wear and longevity vary depending on care and environment.
Wholesale partners are responsible for communicating proper care instructions to their customers.
We do not guarantee lifetime wear under wholesale agreements.

9. Resale & Branding
Wholesale products may not be altered, relabeled, or marketed as another brand.
Products must be sold at or above suggested retail pricing unless otherwise approved.
Wholesale partners may not sell our products on third-party marketplaces (including but not limited to Amazon, eBay, or similar platforms) without written consent.

10. Intellectual Property
All images, branding, product names, and marketing materials remain the intellectual property of Alysha James Jewelry.
Unauthorized use, reproduction, or distribution of brand assets is prohibited.

11. Limitation of Liability
Alysha James Jewelry shall not be liable for indirect, incidental, or consequential damages arising from the use or resale of our products.
Our total liability shall not exceed the total purchase amount of the order in question.

12. Governing Law
These Terms & Conditions are governed by the laws of Ontario, Canada.
Any disputes arising under these terms shall be resolved within the jurisdiction of Ontario.

13. Amendments
We reserve the right to modify these Terms & Conditions at any time. Continued use of the wholesale account constitutes acceptance of any updates.
